SUMMER WIFFLE® CLASSIC INCENTIVES PROMOTION - TERMS AND CONDITIONS

OVERVIEW: The applicable premiums described below (the "Incentives") will be given away to qualifying participants in the Summer Wiffle® Classic on July 28, 2012 (the "Event"). To be eligible to receive Incentives, participants must be registered for the Event, aged 21 or older on the day of the Event (each such participant, as further described below, an "Eligible Participant") and raise at least $125 as a team.

The Cincinnati Reds, the MLB Entities, and each of their respective parent companies, subsidiaries, affiliates, sales representatives, agencies, retailers, wholesalers, distributors and promotional and other vendor agencies involved in this contest are not responsible for lost, late, non-complying or misdirected entries. The "MLB Entities" shall mean the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P., Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., the Major League Baseball Clubs, The MLB Network, LLC, Tickets.com, Inc., SportsOnEarth, LLC and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the directors, officers, employees and agents of the above entities.

PROMOTION PERIOD: The promotion period begins December 21, 2011, and ends July 6, 2012. Fundraising commitments obtained after July 6, 2012, are not eligible to be counted towards the Participation Incentives below.

ELIGIBILITY: Incentives are open to legal US residents physically residing in the 50 US and DC age 21 and older only. Employees of the Cincinnati Reds, Reds Community Fund, any other MLB Entities, and their immediate families (spouse, parent, sibling, child) and members of their immediate households (whether or not related) are not eligible to receive Incentives.

PARTICIPATION INCENTIVE GIVEAWAYS: Level 1: Every Eligible Participant who raises between $125-$249 through the online fundraising tool by July 6, 2012 is eligible for entry to play in the Summer Wiffle® Classic and a Summer Wiffle® Classic T-shirt for each player. Level 2: Every Eligible Participant who raises between $250-$499 through the online fundraising tool by July 6, 2012 is eligible for entry to play in the Summer Wiffle® Classic, four (4) mezzanine level tickets to a future Reds game (date: TBD), and a Summer Wiffle® Classic T-shirt for each player. Level 3: Every Eligible Participant who raises between $500-$999 through the online fundraising tool by July 6, 2012 is eligible for entry to play in the Summer Wiffle® Classic, Reds Community Fund hats for each player, Summer Wiffle® Classic T-shirt for each player, and four (4) mezzanine level tickets to a future Reds game (date: TBD). Level 4: Every Eligible Participant who raises between $1,000-$2,499 through the online fundraising tool by July 6, 2012 is eligible for entry to play in the Summer Wiffle® Classic , Summer Wiffle® Classic T-shirt for each player, four (4) field box tickets to a future Reds game (date: TBD), Reds Community Fund hats for each player, and two (2) autographed baseballs (multiple player options). Level 5: Every Eligible Participant who raises between $500-$999 through the online fundraising tool by July 6, 2012 is eligible for entry to play in the Summer Wiffle® Classic, Summer Wiffle® Classic T-shirt for each player, Reds Community Fund hats for each player, four (4) Fox Sports Ohio Champions Club level tickets to a future Reds game (date: TBD), two (2) autographed baseballs & two (2) player photos (multiple player options), and the opportunity for four (4) to view Reds batting practice from the field (date: TBD). Top Fundraising Team: The Eligible Participants who raise at least Five Thousand Dollars ($5,000) and is the top overall fundraising team through the online fundraising tool by July 6, 2012, as determined by the Cincinnati Reds in their sole discretion (the "Top Fundraiser") is eligible for Entry to play in the Summer Wiffle® Classic, Reds Community Fund hats for each player, Summer Wiffle® Classic T-shirt for each player, four (4) Diamond Club tickets to a future Reds game (date: TBD), personalized, authentic replica Reds jersey (1 per participant), opportunity to view Reds batting practice from the field (date: TBD), exclusive meet and greet with Reds players during Redsfest 2012. PLEASE NOTE: limit one (1) Incentive per Eligible Participant. The Sponsor will contact all Eligible Participants by phone or email at the end of the Promotion Period to confirm eligibility and arrange fulfillment of Incentives. The particular game tickets awarded will be determined by the Sponsor in its sole discretion; provided, however, that Eligible Participants shall be given the option to choose the game they wish to attend from among select game dates determined by the Sponsor.

PUBLICITY RELEASE: The Top Fundraiser, by accepting the applicable Incentive, grants to Sponsor, MLBAM and each of their respective designees the right to publicize such Top Fundraiser name, address (city and state of residence), biographical data, photograph, voice, statements and or other likeness and Incentive information for advertising, promotion, trade and/or marketing purposes, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further additional compensation consideration, permission or notification, unless prohibited by law.

ADDITIONAL RULES: If Incentives or other materials are unclaimed or returned as undeliverable, the Top Fundraiser will be disqualified and, if determined by the Cincinnati Reds in their sole discretion, a runner-up Eligible Participant may be deemed the Top Fundraiser. Sponsor reserves the right to request verification of any Eligible Participant's identity and eligibility, and, if necessary for tax reporting, winner's social security or tax i.d. number as a condition of Incentive award, or potential Eligible Participant may be disqualified and new Top Fundraiser chosen. All federal, state and local taxes are the sole responsibility of winners. - The estimated retail value of the Incentives is as follows: level 1 – N/A; level 2 - $125; level 3 - $300; level 4 - $600; level 5 - $1,750; Top Fundraiser - $3,500. Pursuant to IRS regulations, the Sponsor will distribute a 1099 to those Eligible Participants who reach level 4 of higher. Each Eligible Participant's companions must be of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian. Major League Baseball game, event and exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the Cincinnati Reds, as applicable, and may be subject to change. The terms and conditions of the tickets awarded as part of any Prize will govern in the event a legal game, event or exhibition, as defined by Major League Baseball, is not played due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. Each winner and his/her guest(s) agree to comply with all applicable ballpark regulations in connection with the Prize. Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to any Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Released Parties (defined below) will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale. Any such resale may result in disqualification and forfeiture of prize, and may invalidate the license granted by the game ticket(s).

All federal, state and local laws and regulations apply. This promotion is intended for viewing in the United States only and is subject to United States law. Do not enter this contest if you are not a legal resident of the 50 United States or the District of Columbia. Sponsor and the MLB Entities are not responsible for any problem or technical malfunction of related to online offering or entry of the promotion. All fund collected by or on behalf Eligible Participants become the property of the Sponsor and are not returnable.

Sponsor reserves the right to cancel, terminate or revoke all or part of the prizing at any time, immediately, including at the game for which tickets or vouchers were awarded, should the Eligible Participant or companion's behavior be unacceptable in Sponsor's sole determination, including any behavior that is inconsistent with Sponsor's reputation in the market place for quality, integrity and honesty.

RELEASE OF LIABILITY: By participating, each Eligible Participant agrees to accept and abide by these Terms and Conditions and agrees that any dispute with regard to the conduct of this promotion, rule interpretation or award of any Incentive, shall be resolved by Sponsor or its designated representative, whose decision shall be binding and final. By participating, each Eligible Participant agrees to release and hold harmless Sponsor, Milwaukee Brewers Baseball Club, the other MLB Entities, and each of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents and representatives of any of the above organizations (the "Released Parties") from any injury, loss or damage to person, including death or property damage due in-whole or in-part, directly or indirectly to the acceptance, use, or misuse of a prize, participation in any contest-related activity, or participation in the contest.

The Released Parties are not responsible for any typographical or other error in printing, or in the offering or the announcement of prizes, including such errors as may result in the erroneous designation of an entrant as a prize winner. In no event will more than the stated number of prizes be awarded. If for any reason the integrity or intended proper conduct of this contest is compromised, Sponsor reserves the right to terminate, modify or suspend the promotion and, if so, reserves the right, but shall have no obligation, to award the prize from among all valid and eligible entries received to date. Sponsor further reserves the right to disqualify any individual who tampers with the entry process.
